1. Acceptance of Terms
By accessing and using Oracle Solutions services, including our cloud applications, database solutions, artificial intelligence platforms, and enterprise software, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
2. Service Description
Oracle Solutions provides comprehensive enterprise technology services including:
- Cloud Applications: Enterprise Resource Planning (ERP), Human Capital Management (HCM), Supply Chain Management (SCM), and Customer Experience (CX) applications
- Database Solutions: Oracle Database services, Autonomous Database, multi-cloud deployments, and database management tools
- Cloud Infrastructure: Oracle Cloud Infrastructure (OCI) services including compute, storage, networking, and platform services
- Artificial Intelligence & Machine Learning: AI services, machine learning platforms, and intelligent automation tools
- Integration Services: Middleware, API management, and system integration solutions
- Analytics & Business Intelligence: Data analytics platforms, reporting tools, and business intelligence solutions
3. User Responsibilities
Account Security
Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. You must immediately notify Oracle Solutions of any unauthorized use of your account or any other breach of security.
Acceptable Use
You agree to use Oracle Solutions services only for lawful purposes and in accordance with these Terms. You shall not:
- Use the services for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to any portion of the services
- Interfere with or disrupt the services or servers connected to the services
- Transmit any viruses, malware, or other malicious code
- Violate any applicable local, state, national, or international law
- Reverse engineer, decompile, or disassemble any software provided as part of the services
4. Service Availability and Performance
Service Level Agreements
Oracle Solutions strives to maintain high availability and performance standards for all services. Specific Service Level Agreements (SLAs) are defined in individual service contracts and may include uptime guarantees, performance metrics, and remedies for service level failures.
Maintenance and Updates
Oracle Solutions reserves the right to perform scheduled maintenance and updates to improve service quality, security, and functionality. We will provide advance notice of planned maintenance that may affect service availability.
5. Data Protection and Privacy
Data Security
Oracle Solutions implements comprehensive security measures to protect customer data, including encryption at rest and in transit, access controls, and security monitoring. We maintain certifications for industry standards including SOC 1/2/3, PCI DSS, HIPAA, and ISO 27001.
Data Ownership
Customers retain ownership and control of their data. Oracle Solutions does not claim ownership of customer data and will not access, use, or disclose customer data except as necessary to provide services or as required by law.
Data Processing
Oracle Solutions may process customer data to provide services, improve service quality, and ensure security. All data processing activities comply with applicable data protection regulations including GDPR, CCPA, and other regional privacy laws.
6. Intellectual Property Rights
Oracle Solutions IP
All software, documentation, and intellectual property provided by Oracle Solutions remain the exclusive property of Oracle Solutions and its licensors. These Terms grant you a limited, non-exclusive license to use the services in accordance with the agreement.
Customer IP
Customers retain all rights to their intellectual property and data. Oracle Solutions does not claim any ownership rights in customer applications, data, or intellectual property created using our services.
Third-Party Components
Oracle Solutions services may include third-party software components subject to separate license terms. These components are licensed under their respective terms and conditions.
7. Payment Terms and Billing
Subscription Fees
Services are provided on a subscription basis with fees determined by usage, service tier, and contract terms. All fees are due in advance unless otherwise specified in the service agreement.
Usage-Based Charges
Some services include usage-based charges for compute resources, storage, data transfer, and other consumption-based metrics. Usage charges are calculated monthly and billed according to published rate cards.
Payment Methods
Oracle Solutions accepts various payment methods including credit cards, bank transfers, and purchase orders for qualified customers. Payment terms are typically net 30 days from invoice date unless otherwise specified.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Oracle Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, resulting from your use of the services.
Oracle Solutions' total liability for any claims arising from or related to the services shall not exceed the amount paid by you for the services during the twelve months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Oracle Solutions and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:
- Your use of the services
- Your violation of these Terms of Service
- Your violation of any third-party rights
- Any content or data you submit, post, or transmit through the services
10. Termination
Termination by Customer
Customers may terminate their use of services at any time by providing written notice in accordance with the service agreement terms. Upon termination, customers are responsible for data export and account closure procedures.
Termination by Oracle Solutions
Oracle Solutions may terminate or suspend services immediately if you violate these Terms of Service or engage in activities that could harm the services or other customers.
Effect of Termination
Upon termination, your right to access and use the services ceases immediately. Oracle Solutions will provide reasonable assistance for data export during a transition period as specified in the service agreement.
11. Governing Law and Dispute Resolution
These Terms of Service are governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the use of services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12. Changes to Terms
Oracle Solutions reserves the right to modify these Terms of Service at any time. Material changes will be communicated to customers with at least 30 days advance notice. Continued use of services after changes take effect constitutes acceptance of the modified terms.
